1. Scope
These Terms and Conditions apply to all services provided by:

These services include coaching, consulting, mentoring, facilitation, training, workshops, and related professional services.
These Terms apply to all agreements concluded with clients unless otherwise agreed in writing.
2. Nature of Services
The services offered consist of professional coaching, consulting, training, and facilitation.
Coaching is a professional partnership process intended to support reflection, decision-making, and development.
Coaching and consulting services do not constitute:
- legal advice
- tax advice
- financial advice
- medical or psychological treatment
- psychotherapy
Clients remain responsible for their own decisions, actions, and results.
3. Conclusion of Contract
A contract is concluded when:
- a written offer is accepted,
- an appointment or program is confirmed by email or booking system, or
- services are requested and confirmed by the provider.
For organizational engagements, the contract terms may be defined in a separate written agreement or proposal.
4. Services
The scope of services is defined in the respective agreement, proposal, or booking confirmation.
Services may include:
- individual coaching sessions
- organizational consulting
- workshops and trainings
- mentoring and advisory services
- online or in-person sessions
Services may be provided digitally or on-site.
5. Scheduling and Appointments
Appointments are agreed individually.
Clients are responsible for attending scheduled sessions on time.
If an online meeting is scheduled, the client is responsible for ensuring appropriate technical access.
6. Cancellation and Rescheduling
Individual Coaching Sessions
Appointments may be rescheduled or cancelled free of charge up to 24 hours before the scheduled time.
If cancellation occurs less than 24 hours before the appointment, the full fee may be charged.
Workshops, Trainings, or Organizational Engagements
Cancellation terms may be agreed individually. Unless otherwise specified:
- Cancellation up to 14 days before the start: no charge
- Cancellation 7–14 days before: 50% of agreed fee
- Cancellation less than 7 days before: 100% of agreed fee
7. Fees and Payment
Fees are agreed individually and specified in the relevant proposal or confirmation.
Invoices are payable within 14 days unless otherwise stated.
Payment must be made using the payment method indicated on the invoice.
8. VAT
Pursuant to §19 of the German Value Added Tax Act (UStG – small business regulation), no value added tax (VAT) is charged and therefore not shown on invoices.
9. Confidentiality
All information shared during coaching, consulting, or mentoring sessions will be treated confidentially.
Disclosure may occur only:
- with the client’s consent
- if required by law
10. Intellectual Property
All materials provided during services (including presentations, worksheets, frameworks, guides, and recordings) remain the intellectual property of Transformation Unlocked unless otherwise agreed.
Clients may use such materials only for personal or internal purposes and may not reproduce, distribute, or publish them without written permission.
11. Digital Products and Materials
Digital resources such as guides, recordings, or online training materials may be offered.
These materials are provided for personal use only.
Unauthorized reproduction, sharing, or commercial use is prohibited.
Specific terms may apply to individual products.
12. Limitation of Liability
The provider is liable for damages only in cases of:
- intentional misconduct
- gross negligence
In cases of simple negligence, liability is limited to foreseeable damages resulting from the breach of essential contractual obligations.
To the extent permitted by law, liability for indirect damages, lost profits, or consequential damages is excluded.
13. Data Protection
Personal data is processed in accordance with applicable data protection laws and the Privacy Policy available on this website.
14. Applicable Law
These Terms and Conditions are governed by the laws of the Federal Republic of Germany.
15. Jurisdiction
If the client is a merchant or legal entity under public law, the place of jurisdiction is the provider’s registered place of business.
16. Severability Clause
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the validity of the remaining provisions remains unaffected.
